Terms of Service

1. Acceptance of Terms

By accessing and using WASync ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

WASync provides a WhatsApp Business API integration service for Bitrix24 CRM. The Service allows you to:

  • Send and receive WhatsApp messages through Bitrix24
  • Sync WhatsApp conversations with your CRM
  • Automate WhatsApp workflows
  • Manage customer communications from a centralized platform

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using the Service, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

3.3 One Account Per User

Each user may only maintain one active account. Multiple accounts by the same person may be terminated.

4. Subscription and Payment

4.1 Free Trial

We offer a 3-day free trial. No credit card is required to start the trial. After the trial period, you must subscribe to a paid plan to continue using the Service.

4.2 Subscription Plans

Subscription fees are billed in advance on a monthly, quarterly, biannual, or annual basis depending on your chosen plan. All fees are in Euros (EUR) and are non-refundable except as required by law.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can cancel at any time from your account settings.

4.4 Price Changes

We reserve the right to modify subscription fees with 30 days' notice. Continued use of the Service after the notice period constitutes acceptance of the new fees.

4.5 Refund Policy

Refunds are not provided for partial months or unused services. However, if you're unsatisfied within the first 7 days of your initial paid subscription, contact us for a full refund.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service for lawful business purposes to communicate with your customers via WhatsApp.

5.2 Prohibited Activities

You may NOT use the Service to:

  • Send spam, unsolicited messages, or bulk messages to non-consenting recipients
  • Harass, abuse, or harm others
  • Distribute malware, viruses, or harmful code
  • Violate WhatsApp's Terms of Service or Business Policy
  • Infringe on intellectual property rights
  • Engage in illegal activities or fraud
  • Attempt to gain unauthorized access to our systems
  • Resell or redistribute the Service without permission

5.3 WhatsApp Compliance

You must comply with WhatsApp's Business Policy and Commerce Policy. Violations may result in your WhatsApp number being banned by WhatsApp, which is beyond our control.

6. Data and Privacy

6.1 Your Data

You retain all rights to your data (messages, contacts, media files). We process your data as described in our Privacy Policy.

6.2 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of important data.

6.3 Data Usage

We will not access, use, or disclose your data except:

  • As necessary to provide the Service
  • With your explicit permission (e.g., for technical support)
  • As required by law
  • To prevent fraud or abuse

7. Service Availability

7.1 Uptime Commitment

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

7.2 Third-Party Dependencies

Our Service depends on WhatsApp Business API and Bitrix24. We are not responsible for outages or issues caused by these third-party services.

7.3 Support

We provide email support during business hours (Monday-Friday, 9 AM - 6 PM CET). Premium support with faster response times may be available for enterprise customers.

8. Intellectual Property

8.1 Our Rights

The Service, including all software, designs, text, graphics, and other materials, is owned by WASync and protected by intellectual property laws.

8.2 License

We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile the software
  • Remove copyright or proprietary notices
  • Use our trademarks without permission

8.3 Feedback

Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or acknowledgment.

9. Termination

9.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

9.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Fail to pay subscription fees
  • Engage in fraudulent activity
  • Pose a security risk

9.3 Effect of Termination

Upon termination:

  • Your access to the Service will be disabled
  • Your data will be retained for 30 days for potential recovery
  • After 30 days, all data will be permanently deleted
  • You may request a data export before deletion

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

The Service is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the Service will be error-free or uninterrupted.

10.2 No Liability for Third-Party Services

We are not responsible for issues arising from WhatsApp, Bitrix24, or other third-party services.

10.3 Limitation of Liability

To the maximum extent permitted by law, WASync shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the fees paid in the 12 months prior to the claim

11. Indemnification

You agree to indemnify and hold WASync harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Content you send through the Service

12. Changes to Terms

We may modify these Terms at any time. Significant changes will be announced via email or through the Service. Continued use after changes indicates acceptance. If you disagree with changes, you may cancel your subscription.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the European Union and the country where our company is registered, without regard to conflict of law provisions.

13.2 Dispute Resolution

Before filing a lawsuit, you agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes will be resolved through arbitration or in the courts of our jurisdiction.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and WASync.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights without restriction.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, wars, or internet outages.
